The Buyer is obliged to pay by Cash OR 100 % T/T in advance within 3 (three) banking days from the date of signing of this Contract by both parties. And signing of the payment realease order and The contract agreement must be registered and legalised in Togo Ministry Of Justice before the payment.
VII. Delivery and Acceptance Terms

The Goods are to be dispatched from the port of dispatch AFTER forty days for 10 MILLION pcs and the production will start after 8 weeks from the day of receiving the Cash in advance by the Buyer to favor of the Seller.
Date of dispatch from the port of dispatch is to be understood as the date of delivery. 
Not later than 3 (three) days prior the date of shipment the Sellers have to notify the Buyers of the readiness of the goods for delivery by giving a fax notice of same stating name of the port of loading and name and contact information of the Agent and carrier. 
VIII. Documents

IX. Claims
The Seller does not accept any claims related to the quality of the Goods after the buyer verify the samples .
X. Force majored
Neither party shall be held responsible for delay or failure of performance of obligations provided for herein when such delay or failure is caused by strikes, fire, flood, earthquake or any other acts of God, or any laws, rules or regulations of any Government authority or other conditions beyond its control which can not be forecasted or provided against and provided the party subject to such obligations has exhausted all other means of performing the obligation in question.
The Party wishing to claim relief by reason of any said circumstance shall notify the other party in writing of the beginning and of cessation of force majored circumstances and deliver to the other contractual party by registered mail a certificate issued by the Chamber of Commerce at the place where the force-majored circumstances occurred as evidence thereof within 10 days after occurrence of force majored circumstances.
Should such force majored circumstances exceed 36months, either party has the right to cancel this Contract, unless otherwise agreed, in which case neither the Seller nor the Buyer shall be liable for damages under the present Contract
No amendments, annexes, waivers of this contract or any of its terms shall bind the parties, unless in writing and signed by authorized representatives of both parties.
All addenda, amendments, annexes, waivers etc. made in relation with this Contract shall be considered as indispensable part of this Contract.
This contract is made in English and in 2 originals, one for each Party.

The present Contract comes into force from the date of being signed by duly authorized representatives of both parties and is in force until the total fulfillment of obligations determined by this Contract for the parties.
THE IMPORTER WARRANTY
The funds that are allocated for this transaction are good ,clean and non criminal origin.
THE EXPORTER WARRANTY
The pursuant to the term and conditions of this contract she has legally available for sale and delivery to the BUYER
