今天美国一个新客户下了***个新订单，但是随付后面的一大串条款，有些地方不是很懂，油条大哥麻烦帮忙看一下，会不会有什么软条款，谢谢了！
PURCHASE ORDER TERMS AND CONDITIONS
QUALITY：Any manufacturing or other specifications referred to in this order are hereby made a part thereof,as if fully set forth herein. DELIVERIES:Commodities shall be subject to our inspections after *域名隐藏* as herein otherwise provided,failure to delivery the specified commodities of the quality in the quantity and within the time specified shall at our option,relieve us of any obligation to accept delivery of and pay for such commodities as well as any thereafter to be delivered change shipping instructions to speed up delivery and charge you with any loss *域名隐藏* failure by us to exercise this option with respect to any commodities shipped hereunder shall not constitute a waiver of any of our rights in respect to commodities thereafter to be delivered hereunder. CONTAINERS:All returnable containers shall be billed on separate memo invoice,subject to return in good condition as promptly as possible,transportation charges collect. LIABILITY FOR DAMAGES:You will indemnity,save harmless,and defend us from all liability for loss,damage or injury to persons or property in any manner arising out of incident to the performance of this *域名隐藏* er you shall,by virtue hereof have in your possession our property yuo shall be deemed an insurer thereof and shall be responsible for its safe return to us. INSURANCE:Vendor shall provide to purchaser a certificate of insurance to confirm vendor carries a minimum of $1,000,000 in general liability and products/completed operations *域名隐藏* purchaser shall be named as an additional insured under the product liability sections of the policy. INDEMNIFICATION:Vendor shall protect,defend,hold harmless and indemnify purchaser from and against any and claims,actions,liabilities,losses,cost and expenses,even if such claims are groundless,fraudulent or false,arising out of any actual or alleged death of or injury to any person,damage to any property,or any other damage or loss by whomsoever suffered,resulting or claimed to have resulted in whole or in part from any actual or alleged detect in,including but not limited to,design,manfacturing,guarding,warnings,and/or instructional *域名隐藏* obligation must be continuing and shall not be diminished by an approval or acceptance of or payment for work or goods by the purchaser. PATENTS:You guarantee that the commodities herein described do not infringe any pantent and agree to defend any suit that may arise hereto and to inemnify and save us harmless from any expense which may be incurred by the assertion of any patent rights herein. PACKING&CARTAGE:A packing list,bearing shippers name and address,shall be placed in each box ,container or *域名隐藏* charge will be allowed for packing,boxing,or cartage unless so stipulated herein,but damage to any commodities not packed to insure proper protection to same,if accepted by us,will be charge to you. INVOICING&DISCOUNTS:Send invoice in duplicate with bill of lading to this office on day of *域名隐藏* material on invoices subject to cash discount is not received within the allotted period same will be paid as soon as material is received and checked with invoice and discount taken as per terms on *域名隐藏* you desire to take freight into consideration before computing cash discount your invoice should so state and amount of freight must be shown or discount will be taken from full amount of *域名隐藏* separate invoice for each order and show on same cash discount allowed and point from which shipment was *域名隐藏* e must show whether freight is paid or not. COMPLIANCE WITH LAW: In the performance of this order Seller shall comply with all laws,ordinances,rules and regulations,Federal,State and local,applicable *域名隐藏* certifies to Buyer that the materials purchased by Buyer hereunder were produced in compliance with all applicable requirements of the Fair Labor Standards Act of 1938,as amended,including the requirements as to *域名隐藏* Equel Opportunity clause prescribed by Executive Order No.11246 of September 24,1965,as amended,and regulations issued pursuant thereto by the Office of Federal Contract Compliance are incorporated herein,unless this amended,and regulations issued pursuant thereto by Office Contract Compliance are incorporate herein,unless this amended,and regulations issued pursuant there by the Office of Federal Contract Compliance are incorporatd herein,unless this transaction is exempt under applicable regulaitons and seller hereby makes to Buyer the certifications,if any,required thereby.
