| 一乌克兰客户发来一张合作合同，请高手帮我翻译一下，并请问为保障我方的利益，还须增加哪些必要的条款，谢谢。

The Co***ny produce and sell products under trade mark «ELCO», marketing agency provide selling of these products to Ukraine
2. CONDITIONS OF COOPERATION
2.1. Marketing agency provide selling of products under «ELCO» trade mark to Ukrainian importers, chains of retail supermarkets and other interested co***nies.
2.2. The co***ny should transfer to Marketing Agency 5% of all products sold and/or shipped to Ukraine within 15 days after receiving payment from buyers.
2.3. The Marketing agency have exclusive rights for orders and shipment to Ukraine. 2.4. The Co***ny provide additional 5% discount for Ukrainian buyers if their one order is 1 full container or more 30 000 USD
3 RESPONSIBILITIES OF MARKETING AGENCY
3.1. Put maximum efforts for increasing and maintaining of sales to Ukraine.3.2. Provide in-time payment from buyers.
4. RESPONSIBILITIES OF CO***NY
4.1. Produce and supply products under trade mark «ELCO» in high quality, the same as samples.
4.2. The Marketing agency shall receive 5% on all shipments into its exclusive territory. 5% shall also be paid on all orders originating from customers within the Representative's exclusive territory, regardless whether said orders are sent by the Representative or received directly by the Co***ny from customers over the telephone, through the mail, by FAX, or through other means without the Representative's assistance.
4.3. The co***ny should provide warranty __ year from the date of retail selling.
4.4. Warranty obligations are fulfilled by providing of free products for replacing of those that have been broken under warranty term (except cases when breakage have been made because of wrong use by customers).4.5. If defected products exceed 3% - the Co***ny should provide free products for replacing and compensate cost of delivery and customs clearance.
