8.1 Manufacturer shall defend, indemnify, and save and hold Distributor harmless from and against any and all demands, claims, actions, causes of action, costs, expenses (including, without limitation, attorney fees and expert witness fees), damages, fines, losses, and other liabilities of every kind and nature arising or resulting directly or indirectly from any Product (whether or not defective) or any act or omission of Manufacturer, including but not limited to any injury (whether to body, property, or personal or business character or reputation) sustained by any person or to any person or to property, and for infringements by any Product of any patent rights or other rights of third parties.  Manufacturer shall notify Distributor of any and all such matters as soon as Manufacturer becomes aware of them.  Distributor shall have the exclusive right to control and direct the legal activities associated with any such action through counsel retained and compensated by it if that action is deemed by Distributor, in its sole and absolute discretion, to be potentially damaging to its business, public image, or goodwill generally.
