If it is determined by either party that the relevant defect affects machine safety, the function, comfort and performance of the machine or general levels of customer satisfaction with the machine, JCB and its service network shall implement an adequate recall or service action campaign. Such products as are or may prove to be defective shall be repaired or replaced as appropriate, including any units or parts held for replacement purposes. 8.3 JCB shall give reasonable notice to the Supplier with reasonable substantiation of its intention to make a claim for reimbursement of recall costs under this agreement. Upon receipt of such written notice, the Supplier shall give JCB either written acceptance of such costs or shall advise JCB of its objection and provide supporting data. JCB will consider the merits of such objection but may, after making due consideration, determine that all or a proportion of any recall costs should be payable to JCB, to be agreed between JCB and the Supplier. The costs to be reimbursed will include all warranty costs incurred by JCB. 9. GENERAL MATTERS 9.1 This agreement shall be effective from the date of signature and will continue in effect for the appropriate warranty period notwithstanding the cessation of supplies to JCB by the Supplier and that under no circumstances shall the Supplier be released from liability for Components already supplied. 9.2 The Supplier shall notify JCB in advance of the Supplier’s proposal to transfer its business activities to a new owner. The Supplier shall not assign this agreement to any third party without the prior written consent of JCB. 9.3 Any dispute or differences of opinion arising out of or in connection with this agreement shall initially be the subject of good faith negotiations between JCB and the Supplier. In the event of negotiations not being successful the parties may agree to refer the matter to arbitration under the control of a mutually acceptable arbitrator. 9.4 English law shall govern this warranty agreement.
