If any of the representations, warranties, undertakings or understandings set forth herein by CNI is found to be materially untrue, misleading or incorrect or have not been fully carried out in any material respect, or results in any material impediment to the operation of the JVE, BI A/S shall be entitled by notice to CNI and the Relevant Authority, if required by the Laws of China, to terminate this Agreement without liability on its part. The right conferred on BI A/S in this Article is in addition to and without prejudice to any other rights that it may have, including any right to claim damages or compensation from CNI and failure to exercise it shall not constitute a waiver of any such right.

The indemnity contained in this Article shall be without prejudice to other rights and remedies of BI A/S in relation to any such breach of representations, warranties or undertakings and all such other rights and remedies are hereby expressly reserved to BI A/S.
