| 甲乙双方本着平等互利、诚实信用、共谋发展的原则，就乙方在授权区域内成为广东慕姬格服装有限公司所属品牌“***”的代理商，而协商一致，缔结合约如下：
一、代理许可范围 1. 甲方授权乙方为***省的“***”代理商，并拥有周边所属区域的市场开发权。
2. 乙方所属区域具体为
3. 乙方经授权拥有在以上区域内从事发展经销商（批发）、发展专卖（零售）的权利。
4. 乙方有“***”在本合约在规定区域的销售权，无转让权，无生产权。乙方在任何情况下，都不允许用任何方式制作或改造“***”的产品。乙方不得在规定区域以外的任何地区直接或间接销售或授权他人销售。
5. 双方确认：无论是本合约有效期或本合约有效期满后，乙方无权拥有“***”的商标权。

This Agency Agreement for apointing Party B as the agenct of *** Brand in pointed area is entered into through negotiations between Party A and Party B on the basis of equality,mutual benefit,credit and joint development on the terms and conditions set forth below:

1. Party A authorize Party B as the agent for *** in the territory of *** Province, with the right to extend the market in nearing area.
2. The nearing area is as following 3. Party B has the right to deal with wholesale and retail in the above pointed area with authorization. 4.
