Tel No.: ：- Fax No.: 卖方同意售出，买方同意购买下述商品（统称合同货物），并按下列条款签订合同：
This contract is made by and between the buyer and the seller ,whereby the seller agree to sell and the buyer agree to buy the under-mentioned commodity （be called by The Contract Goods） according to the terms and conditions stipulated as followed:

根据买方需求，同时应满足海上运输和陆路运输要求,及***对出口货物包装的检验要求。
All goods should be packed with meeting the requirement of buyer ,and ocean and inland transportation. Meanwhile, the packing should meet the requirement of CCIB. ⒊装运期限（Time of shipment）
合同签订生效后 天内由中国主要港口启运。
The goods shall be transit from China Main Port within 45 days after the contract effected. ⒋装运唛头（Shipping Mark）：根据买方要求。By buyer’s options. ⒌装运港口：中国主要港口

Port of Transshipment： ⒎运输及保险（Transport and Insurance）
由卖方负责安排运输并按合同货价110%保全险和战争险。
The duty shall be burden by seller for transport and insurance. Covered by the seller for 110% of invoice value of goods shipped against all risks and war risk. ⒏付款条款（Terms of Payment）
以电汇方式付款：合同签订后5个工作日内买方付合同金额30%，接到本合同第九条所规定的单据后，于30天之内付清其余70%合同款.
T/T Payment shall be effected：30% total amount of the contract within 5 working days after the signing date of this contract, then 70% balance of the contract within 30 days after receipt of the documents stipulated under Clause 9 of this contract． ⒐单据（Documents）
⒐⒈卖方应向买方提供已装船清洁提单、***、装箱单。
⒐⒉卖方应向买方提供空白背书、包括货物运至目的港的全部险别及战争险、标注赔付地为中国、保险金额为110%合同货款的保险单。
⒐⒈The seller shall provide the buyer with Clean On Board Bill of Lading, Invoice, Packing list.
⒐⒉The seller shall provide the buyer with the insurance policy for 110% of the total contract price showing claims payable in P. R. China , blank endorsed, covering transportation to destination against all risks and war risk. ⒑装运条款（Terms of Shipment）
⒑⒈装运船只由卖方安排，允许分批装运并允许转船
⒑⒉卖方于货物装船后，应将合同号码、品名、数量、船名、装船日期在3个工作日内以传真通知买方
⒑⒈The carrying vessel shall be arranged by the seller , Partial shipments and transshipment are allowed.
⒑⒉The seller shall notify the buyer by FAX of the contract number ,name of goods ,quantity . name of the vessel and date of shipment within 3 working days, after loading is completed. 11．标准和检验：
根据买方所提规格和技术标准，由生产厂家或商检局提供质量检验证和重量证。
According to requirement of buyer, the certificates of quality and weight are issued by manufacturer or CCIB. 12．品质/数量/重量之异议及索赔（Quality/Quantity/Weight Discrepancy and Claim）
买方若发现货物品质及/或数量/重量与合同所约定的规格和条件不符，除属于保险公司及/或船公司的责任外，买方可凭双方同意的检验机构出具的检验***向卖方提出异议。品质异议须于货到目的港口岸之日起15天之内提出，数量/重量异议须于货到目的港口岸之日起15天内提出。卖方收到异议后15天内答复买方。
In case the quality and /or quantity /weight are found by the to be not in conformity with the Contract, the may lodge claim with the seller supported by survey report issued by an inspection organization agreed upon by both parties ,with the exception ,however ,of those claims for which the insurance company and /or the shipping company are to be held responsible .Claim for quality discrepancy should be filed by the within 15 days after arrival of the goods at the port of destination while for quantity /weight discrepancy claim should be filed by the within 15 days after arrival of the goods at the port of destination ,The seller shall ,within 15 days after receipt of the notification of the claim , send reply to the buyer。 ⒔人力不可抗拒（Force Majeure）
若因人力不可抗拒原因导致卖方不能在本合同规定期限内交货或不能交货，卖方对此不负责任。但卖方应及时以传真方式通知买方。如买方要求时， 卖方应以挂号信的方式向买方提供由中国国际贸易促进委员会或有关机构出具的证明。
All in case of Force Majeure, the seller shall not be held responsible for late delivery or non-delivery of the goods but shall notify immediately the buyer by Fax. The seller shall deliver to the buyer registered mail, if so requested by the buyer, a certificate issued by the China Council for the Promotion of International Trade or any competent authorities. ⒕仲裁（Arbitration）
凡因执行本合同或与本合同有关的一切争议，双方应友好协商解决，如不能协商解决，应将争议提交给中国国际贸易促进委员会对外经济贸易仲裁委员会，依据该会的仲裁规定进行仲裁。仲裁裁决为终局裁决，对双方都有约束力，仲裁费用由败诉方承担， 除非仲裁机构另有裁决。
Any disputes arising from the execution of, or in connection with this Contract, should be settled through friendly negotiation. In case no settlement can be reached, the case shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade, Beijing, for settlement by Arbitration in accordance with the Commission’s Provisional Rules of Procedure. The award rendered by the Commission shall be final and binding on both parties. The arbitration expenses shall be borne by the losing party unless otherwise awarded by the arbitration organization. ⒖合同生效（Effectiveness of contract）
本合同生效自买卖双方签字盖章之日起生效。
This contract shall become effective upon and from the date when it is signed by the seller and the buyer. ⒗本合同以中英文书就，两种文本具有同等法律效力。
